Terms of Service
These Terms of Service (“Terms”) govern access to and use of ITC Workforce, including the public website, workforce-management application, HR Assistant, scheduling, timekeeping, employee records, reports and related support services.
1. Acceptance and authority
By creating an account, starting a trial, purchasing a subscription or using ITC Workforce, you agree to these Terms on behalf of yourself and, where applicable, the organization you represent. You must have authority to bind that organization and to administer workforce information entered into the service.
2. The service
ITC Workforce is business software and decision-support technology. Features may include HR guidance, employee scheduling, open shifts, confirmations, clock-in and clock-out tools, breaks, timesheets, employee records, training or qualification tags, time-off requests, documents, reports, payroll exports, notifications and optional human support. Features may be updated as the product evolves.
3. HR Assistant and human support
The HR Assistant provides information, drafting help, administrative assistance and decision support. It is not a law firm, legal service, regulated professional service or substitute for advice from a qualified lawyer, HR professional, payroll professional, safety specialist or other adviser. Human support available through a plan is practical HR support and does not become legal advice unless a separate written engagement expressly provides legal services through a qualified professional.
4. Employer and manager responsibility
You remain responsible for employment decisions, workplace policies, wages and payroll, scheduling, overtime, leaves, accommodation, discipline, termination, health and safety, privacy, recordkeeping and compliance with applicable laws, contracts and collective agreements. Generated content and suggested workflows must be reviewed by an authorized human before they are relied on. Higher-risk matters should be escalated to an appropriate professional.
5. Accounts, roles and access
You are responsible for maintaining accurate account information, protecting credentials, controlling administrator and employee permissions, promptly disabling access for people who no longer require it and notifying ITC of suspected unauthorized access. You are responsible for activity occurring through accounts under your control unless caused by ITC’s breach of its obligations.
6. Customer and employee data
You retain responsibility for the lawfulness, accuracy and appropriateness of information you enter into the service. You represent that you have the authority needed to provide employee and workforce information to ITC for the purposes of operating the service. You should not upload information that is unnecessary, unlawful, misleading or outside your authority to manage.
7. Privacy and service providers
Personal information is handled as described in the ITC Workforce Privacy Policy. Operating the service may require contracted providers for hosting, authentication, communications, payment processing, security, analytics, file storage or AI infrastructure. You authorize ITC to use such providers as reasonably necessary to deliver, secure and support the service, subject to ITC’s contractual and legal obligations.
8. Acceptable use
You may not use ITC Workforce to break the law; harass, discriminate against or unlawfully profile a person; make deceptive or fraudulent records; attempt unauthorized access; interfere with security or service availability; reverse engineer protected portions of the service except where law permits; upload malicious code; or use the service to make employment decisions in a manner prohibited by law.
9. Trials, subscriptions and employee counts
ITC may offer a 14-day trial without a credit card. Trial features and limits may change. Paid plans are billed at the price and interval shown when you subscribe. Workforce and Supported plans may include a stated number of active employees and may charge an additional per-employee amount above that included level. Unless otherwise stated at checkout or in a written order form, subscriptions renew for the selected billing period until cancelled.
10. Fees, taxes, cancellation and refunds
Fees are shown in Canadian dollars unless stated otherwise. Applicable taxes may be added. You authorize the selected payment method to be charged for recurring fees and usage-based employee charges that apply to your plan. You may cancel future renewal through the available billing process. Fees already charged are generally non-refundable except where required by law or expressly stated in a written refund policy or order form.
11. Third-party services and integrations
ITC Workforce may connect to or depend on third-party services. Those services may have their own terms and privacy practices. ITC is not responsible for third-party services outside its reasonable control, although ITC selects and manages providers used as part of the core platform and may change providers where needed for security, reliability or product operation.
12. Intellectual property
ITC and its licensors retain ownership of the Workforce platform, software, branding, templates, documentation and other service materials. You retain ownership of customer data you submit. You grant ITC the limited rights necessary to host, process, transmit, back up and display customer data to operate, secure, improve and support the service as permitted by these Terms and the Privacy Policy.
13. Availability, maintenance and changes
ITC aims to provide a reliable service, but uninterrupted or error-free operation is not guaranteed. ITC may maintain, update, add, remove or modify features, including to improve security, compliance, usability or performance. Where practical, ITC will provide reasonable notice of material changes that significantly affect a paid service.
14. Disclaimer of warranties
To the maximum extent permitted by law, ITC Workforce is provided on an “as is” and “as available” basis. ITC does not guarantee that HR Assistant outputs, calculations, suggested wording, schedules, alerts or other generated information are complete, current, error-free or suitable for a particular legal, payroll or employment decision.
15. Limitation of liability
To the maximum extent permitted by applicable law, ITC will not be liable for indirect, incidental, special, punitive or consequential damages, lost profits or lost business arising from use of the service. ITC’s aggregate liability arising from the service will not exceed the fees paid by the customer to ITC Workforce during the 12 months before the event giving rise to the claim, except where a limitation is prohibited by law or a written agreement provides otherwise.
16. Suspension and termination
ITC may suspend access where reasonably necessary to protect security, prevent misuse, address non-payment or comply with law. Either party may end the subscription according to the applicable cancellation process or written agreement. Sections that by their nature should survive termination, including payment obligations, intellectual property, disclaimers and limitations, continue after termination.
17. Governing law
Unless mandatory law requires otherwise, these Terms are governed by the laws of the Province of New Brunswick and the federal laws of Canada applicable there, without regard to conflict-of-law rules.
18. Changes and contact
ITC may update these Terms from time to time. Material changes will be reflected by an updated effective date and may be communicated through the service. Questions may be submitted through ITC Business Services at itcbusiness.ca.
